JOB TYPE:  Hybrid with remote work flexibility.  Candidates can be based in Baltimore, MD, Washington DC, or Chicago, IL. 

 

PRIMARY PURPOSE OF POSITION

Provides analytical and tactical support for the non-board related core functions of the OCS: Shareholder Services; Directors Compensation; Insider Trading Management and Section 16 Reporting; Management Model Maintenance and Oversight; Corporate Policies and Procedures Development; Corporate Records Management; Ethics Training And Annual CBOC Certification Process; Directors Interlocks Reporting and Directors Independence Assessment; Directors and Officers Related Person Transaction Assessment; OCS Budget and KPI's. This position will have primary responsibility for several of these functions and provide backup to another analyst for the remaining functions.


PRIMARY DUTIES AND ACCOUNTABILITIES

  • Provide interface with the transfer agent to ensure performance with established criteria and metrics and to address any emergent issues. (15%)
  • Perform the timely transfer of any and all company data to the plan administrators responsible for the employee stock purchase plan; the stock deferral plan; the employee stock option program, performance share program, and the restricted stock program under the long term incentive plan; and any other plans that may be developed. Ensure that the data is delivered in compliance with all deadlines and coordinate the delivery of information with various other internal departments to ensure all reporting and notification obligations are met. Endure that the data is delivered in compliance with all applicable privacy and security regulations or best practices. Maintain the necessary software interface to ensure compliance (15%)
  • Performs all reporting obligations for the directors and executive officers under Section 16, in compliance with the 2 day reporting requirement. Maintains up to date information on all forms of stock ownership for Section 16 individuals as well as all officers subject to the Corporation's stock ownership requirements. Provides periodic reports to Corporate Compensation and Corporate Accounting. Provides data as requested and support to directors and officers regarding their ownership status and provides any necessary support for their approved transactions in accordance with the corporation's Insider Trading Policy and other regulations. (15%)
  • Coordinates the annual meeting of shareholders. Arranges for and assist attorneys with the corporations' proxy solicitation process, oversees the composition and development of the corporation's proxy statement, serves as a judge of election for the tabulation of votes. Assist with the review all incoming shareholder correspondence through the internet, telephone and US Mail, forwarding communications to the appropriate Company officers when appropriate, or researching and providing the requested information on behalf of the Company. Maintain files of all shareholder correspondence. (20%)
  • Makes all the required payments and distributions to the company's current and retired directors under various active and legacy compensation programs. Provides regular statements, tax reporting (Form 1099's) and personal support to the individuals. Provides all required accounting and tax payment data to the appropriate company departments on a quarterly basis. (15%)
  • Compiles and prepares data on executive compensation and stock ownership for all four company registrants to be used in the annual form 10-K and proxy statement in compliance with applicable regulations as well as recommended best practice. (10%)
  • Prepares and maintains the OCS annual budget as well as project level budgets for certain large events. Reviews and reconciles monthly expenses against budget line items; prepares quarterly forecasts of year-end performance. Reports variances to VP & Corporate Secretary. Assists with the reconciliation of the department P-cards, and the preparation of corrections and accruals as needed. Prepares contract requisitions and voucher entries in Passport as needed. Ensures compliance with corporation policies on procurement and payment. (5%)


JOB SCOPE

  • Highly motivated and independent individual contributor with superior business judgment.
  • Primary responsibility for Section 16 compliance for the board of directors and senior officers.
  • Sole responsibility for computing and making all compensation payments to the individual members of the board of directors and payments and distributions to retired directors, providing periodic statements, answering individual questions, and providing subsequent year end tax reporting.
  • Primary responsibility for organizing the company's annual meeting of shareholders.
  • Works under minimal supervision.

Qualifications

MINIMUM QUALIFICATIONS
  • Requires undergraduate degree in business, finance, accounting or economics. Undergraduate engineering or other technical degree requires MBA or other strong quantitative business oriented graduate degree.
  • 8 to 10 years experience in financial/business analysis with regular interfaces corporate, BSC, legal, and BU departments.
  • Ability to communicate effectively with all levels of the organization, especially with the board of directors and senior management.
  • Excellent analytical and computer skills. Ability to plan and organize workload and delegate tasks to administrative assistants.
  • Ability to lead and/or participate effectively in cross-functional teams.
  • Requires learning and developing working knowledge of selected financial systems, including EPS, Passport, Khalix.
  • Ability to handle difficult situations with grace.
  • Willingness to perform other tasks as needed when traveling with the Board of Directors.

PREFERRED QUALIFICATIONS
  • Job experience that provides a broad overview of corporate and business unit departments, functions, and interdependencies.
  • Previous experience developing policies, procedures, or other process documentation, or other communications intended for a wide audience.
